Terms of Service

These Terms of Service (hereinafter "Terms") govern access to and use of the Kalyos platform, accessible at kalyos.ai, and its associated applications (hereinafter collectively "the Service"). By accessing the Service, you agree to these Terms in their entirety. Please read them carefully before using the Service.

2. Acceptance of Terms

Accessing the Service constitutes full and unconditional acceptance of these Terms. These Terms form a legally binding contract between you (the user) and OB2 (hereinafter "Kalyos", "we" or "our").

If you use the Service on behalf of a legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" refers to the relevant entity.

If you do not accept these Terms, you must not access or use the Service. Continued use of the Service following any amendment to the Terms constitutes acceptance of the amended terms.

These Terms apply in addition to our Privacy Policy, which forms an integral part of our contractual framework.

3. Description of the Service

Kalyos is an artificial intelligence platform offering:

Access to more than 400 AI models from various providers (OpenAI, Anthropic, Google, Mistral, Meta and others) through a unified interface.
An intelligent routing engine that automatically selects the most appropriate model for each request based on context, complexity, and user preferences.
Autonomous AI agents capable of executing multi-step tasks (web browsing, file processing, tool calls, etc.).
Integrated productivity tools: text generation, image generation, code generation, document summarisation, data analysis, and much more.
Centralised management of conversations, history, and personalised settings.

Kalyos is an aggregator and orchestrator of third-party AI services. We do not develop the underlying models but provide access, routing, and optimisation infrastructure. The effective capabilities of the Service therefore depend in part on the availability and performance of third-party model providers.

Kalyos reserves the right to modify, enhance, or withdraw features of the Service at any time, within reasonable limits and with prior notice to users for significant changes.

4. Registration and User Account

4.1 Account creation

Access to most features of the Service requires the creation of a user account. You must provide accurate, complete, and up-to-date information at registration (valid email address, username, etc.). You may register directly or through a third-party identity provider (Google, GitHub, or others depending on available options).

You must be at least 16 years old to create an account and use the Service, in accordance with the General Data Protection Regulation (GDPR). For users aged 16 to 18, parental consent is required.

4.2 Account security

You are solely responsible for the confidentiality of your login credentials and for all actions carried out from your account. You are required to:

Choose a strong and unique password.
Enable two-factor authentication where available.
Notify us immediately at [email protected] in the event of unauthorised access or compromise of your account.
Not share your credentials with third parties.

Kalyos shall not be held liable for any loss or damage resulting from your failure to comply with these security obligations.

4.3 One account per user

Each natural or legal person may only create and maintain one active primary account. Creating multiple accounts for the purpose of circumventing usage limits, fraudulently benefiting from promotional offers, or for any other unauthorised reason is strictly prohibited and may result in the suspension or termination of all accounts involved.

5. Subscription Plans and Billing

5.1 Available plans

Kalyos offers the following pricing plans (prices in EUR inclusive of applicable taxes, subject to change pursuant to section 5.5):

The prices shown may be subject to applicable VAT depending on your country of residence.

5.2 Billing and payment

Paid subscriptions are billed on a recurring basis, monthly or annually depending on your choice at the time of purchase. Payment is automatically charged on the anniversary date of your subscription through the secure payment provider integrated into the Service (Stripe or equivalent).

You must provide valid payment information and agree to keep it up to date. In the event of a failed payment, Kalyos reserves the right to temporarily suspend access to premium features pending resolution.

All transactions are secured. Kalyos does not directly store your card details, which are managed by our PCI-DSS certified payment provider.

5.3 Right of withdrawal (14 days)

In accordance with articles L.221-18 et seq. of the French Consumer Code, you have a 14-calendar-day withdrawal period from the date of your paid subscription, without needing to provide a reason or pay any penalty.

Important: if you have begun using the paid Service before the expiry of the withdrawal period, you expressly waive your right of withdrawal at the time of subscription in accordance with article L.221-28 of the French Consumer Code. In that case, no refund will be due for the period already consumed.

To exercise your right of withdrawal, send an unambiguous notification to [email protected] before the expiry of the period, stating your name, address, order number, and your decision to withdraw.

5.4 Subscription cancellation

You may cancel your paid subscription at any time from your account area, under the "Billing" tab. Cancellation will take effect at the end of the current subscription period. No pro-rata refund will be made for the remaining period, except as required by law or in exceptional circumstances at Kalyos's discretion.

From the effective date of cancellation, your account will automatically revert to the Free plan. Your data and conversation history will be retained for an additional 90 days before permanent deletion, unless you request otherwise.

5.5 Price changes

Kalyos reserves the right to modify its pricing. Any price change will be notified to you by email at least 30 days before it takes effect. If you do not accept the new price, you may cancel your subscription before the effective date without any additional charge. Failure to cancel within that period will constitute acceptance of the new price.

6. Premium Credits and AI Models

6.1 How credits work

Access to "premium" AI models (high-performance proprietary models) is governed by a system of daily credits allocated according to your plan. Unused credits do not roll over to the following day.

These estimates are indicative and correspond to requests of average complexity on standard premium models. Actual consumption varies depending on the model used, the length of exchanges, and the complexity of tasks. A long exchange with a highly advanced model will consume more credits than a short request on a standard model.

6.2 Open-source models with unrestricted access

The Free plan and all paid plans include unlimited access to open-source models hosted by Kalyos (Llama, open-source Mistral, Qwen, DeepSeek, and other open-source models available on the platform). These models do not consume premium credits.

If your daily premium credits are exhausted, the Kalyos router may offer to automatically switch to an open-source model so you can continue using the Service without interruption.

6.3 Dependency on third-party models

Kalyos accesses premium models via the APIs of third-party providers. The availability of these models depends on conditions outside our direct control. Kalyos does not guarantee the permanent availability of any specific third-party model and may, if necessary, withdraw or replace a model with reasonable notice. In the event of an unexpected interruption of a third-party model, Kalyos will endeavour to offer an equivalent alternative.

7. Acceptable Use

7.1 Permitted uses

The Service is designed for lawful, legitimate uses in compliance with these Terms, including:

Writing assistance, research, summarisation, and content creation.
Software development, debugging, and code review.
Data analysis, reports, and professional presentations.
Learning, training, and exploration of various topics.
Automation of repetitive tasks via AI agents.
Any other productive use compliant with applicable laws and regulations.

7.2 Prohibited uses

It is strictly prohibited to use the Service to:

Generate unlawful content, child sexual abuse material, hate speech, discriminatory, defamatory content, or content inciting violence.
Deceive, manipulate, or harass other persons.
Create malware, viruses, hacking tools, or any code designed to harm third-party systems.
Circumvent security measures or gain unauthorised access to third-party systems, networks, or data.
Generate spam, disinformation campaigns, or misleading content at scale.
Infringe the intellectual property rights of third parties.
Collect or process personal data of third parties without an appropriate legal basis.
Use the Service in connection with activities that are unlawful under French law or the laws of the user's country.
Attempt to reverse engineer, decompile, disassemble, or extract the source code of the Service.
Resell, sublicense, or redistribute access to the Service without prior written authorisation from Kalyos.

Kalyos reserves the right to remove any content and to suspend or terminate any account in violation of these rules, without notice in the most serious cases.

8. Intellectual Property

8.1 Kalyos's rights

All constituent elements of the Service (source code, interface, design, trademarks, logos, database, algorithms, editorial content) are the exclusive property of OB2 (Kalyos) or are subject to licences granted to Kalyos. These elements are protected by intellectual property law, including copyright, trademark law, and the sui generis right of database producers.

Any reproduction, representation, modification, publication, transmission, or exploitation of all or part of the Service, on any basis whatsoever, is prohibited without the prior written authorisation of Kalyos.

8.2 Your content

You retain full ownership of the content (texts, files, data) that you submit to the Service ("User Content"). By submitting User Content, you grant Kalyos a non-exclusive, worldwide, royalty-free, time-limited licence, solely for the purpose of:

Processing and transmitting your content to third-party AI models in order to provide the Service.
Temporarily storing your content to enable session continuity and conversation history.
Improving the technical performance of the Service (after strict anonymisation and in compliance with GDPR).

Kalyos does not resell your content to third parties and does not use it for advertising purposes. This licence terminates upon deletion of your account.

8.3 AI-generated content

The legal status of content generated by AI models is evolving. Subject to the terms of use of third-party model providers and the applicable law, content generated by Kalyos in response to your requests is made available to you for your own use. It is your responsibility to ensure that your use of any generated content complies with third-party rights and applicable regulations. Kalyos accepts no liability for content generated by third-party AI models.

9. Warranties and Limitation of Liability

9.1 Service availability

Kalyos endeavours to make the Service available 24 hours a day, 7 days a week, but does not guarantee uninterrupted availability. Scheduled maintenance, technical incidents, or disruptions at our providers may temporarily affect access to the Service. Kalyos will inform users of planned maintenance with reasonable advance notice.

9.2 Accuracy of AI responses

AI models may produce inaccurate, incomplete, or outdated information (a phenomenon known as "hallucination"). The Service is provided "as is" and "as available". Kalyos does not warrant the accuracy, completeness, relevance, or fitness for a particular purpose of content generated by AI models.

Important notice: responses generated by AI models do not constitute professional advice (medical, legal, financial, etc.). For any important decision, consult a qualified professional. Do not make high-stakes decisions based solely on an AI response.

9.3 Limitation of liability

To the fullest extent permitted by applicable law, Kalyos's total liability to you for any damage arising from use of the Service is limited to the amount you have actually paid to Kalyos in the 12 months preceding the event giving rise to liability.

Kalyos excludes all liability for indirect, incidental, special, or consequential damages, including loss of data, loss of revenue, or loss of customers, even if Kalyos had been informed of the possibility of such damages.

These limitations do not apply in cases of fraud, gross negligence, death, or personal injury caused by our negligence, nor in cases where limitation of liability is prohibited by applicable law.

10. Termination and Suspension

10.1 Termination by the user

You may close your account at any time from your account settings, or by sending a request to [email protected]. Termination ends your access to the Service. Your personal data will be deleted in accordance with our Privacy Policy.

10.2 Suspension or termination by Kalyos

Kalyos may suspend or terminate your access to the Service, with or without notice depending on the seriousness of the circumstances, in the following cases:

Breach of these Terms or acceptable use policies.
Non-payment of a subscription following reminders.
Fraudulent or abusive conduct, or conduct that is harmful to the Service or other users.
Request from a competent judicial or administrative authority.
Extended account inactivity (more than 24 months without logging in).

In the event of termination for breach of the Terms, no refund will be made for the remaining subscription period.

10.3 Effects of termination

Upon termination of the account, for whatever reason, you immediately lose access to the Service and your stored data. Kalyos nonetheless retains the right to keep certain data for its legal obligations (accounting, tax) for the periods required by law.

11. Amendments to the Terms of Service

Kalyos reserves the right to amend these Terms at any time. Substantive changes will be notified to you by email and/or via an in-Service notification at least 15 days before they take effect.

For minor changes (typographical corrections, editorial clarifications that do not affect your rights), the update date shown at the top of the page will be updated without prior notice.

Your continued use of the Service after amendments take effect constitutes acceptance of the new Terms. If you reject the changes, you may close your account before the effective date.

12. Governing Law and Disputes

12.1 Governing law

These Terms are governed by French law. Any dispute relating to the formation, interpretation, or performance of these Terms shall be subject to the jurisdiction of the French courts, without prejudice to any mandatory provisions applicable to consumers in their country of residence.

12.2 Mediation

In accordance with articles L.611-1 et seq. of the French Consumer Code, if you are a consumer residing in France and a dispute cannot be resolved amicably with Kalyos, you may refer the matter free of charge to a consumer mediator. Kalyos undertakes to respond to any mediation request within a reasonable time.

12.3 EU Online Dispute Resolution platform

In accordance with Regulation (EU) No 524/2013, consumers in the European Union may also use the Online Dispute Resolution platform made available by the European Commission, accessible at: https://ec.europa.eu/consumers/odr.
